Changes to Aozora Bank’s Organizational Structure
Tokyo April 1, 2009 – Aozora Bank, Ltd. (“Aozora”, “the Bank”), a leading
commercial bank, today announced details of the strategic review of its operations, previously described in conjunction with the Bank’s 3
rd
Quarter
results announcement. These changes to the organizational structure of the Bank represent Aozora’s
commitment towards its goal of returning to sustainable profitability through a domestic lending-focused business model. In order to realize this goal, the Bank has enhanced its asset management capabilities and has reviewed its sales and administrative operations to ensure the most appropriate business division structure and personnel allocation, as well as improving overall
efficiency throughout the organization.
1. Overview of the re-organization
a)
Establishment of the Business Promotion Division, and review of the investment banking business •
The International Division, Fund Investment Division, Structured Credit Division, and the Private Equity Division, have been abolished, and non-core assets have been transferred to this new
division in order to strengthen their management.
b)
Change in management and reporting structure at regional branches •
Previously managed in part by head office business groups,
regional branches will now manage all of their business activities (excluding retail-only branches).
c)
Enhancement of the Corporate Business Group •
Establishment of the Corporate Banking Management Division in
order to strengthen the strategic planning capability of the Corporate Business Group
•
Abolishment of Corporate Business Divisions I & II, and the Marketing Division. Sales operations have been strengthened
through the restructuring of Corporate Business Groups I to VI, in addition to the creation of the Small and Medium Enterprise Solution Division, which began operations in February this year.
•
The Capital Markets Division has been re-designated as the Syndication and Securitization Division.

Restructuring of the Financial Markets Group •
The Derivatives Sales Division and Treasury Division have been
restructured, and the Market Products Division and the Treasury Investment Division have been established in addition.

Restructuring of Financial Institutions Group
•
The Securities Business Division has been integrated into the Financial Institutions Management Division, and has been abolished.
f)
Enhancement of Retail Banking Division
•
Commencement of Internet Banking Services and the Internet Branch
•
The Wealth Management Division has been integrated with the Personal Loan Division (the former Loan Centre) and has been
abolished
. The Retail Business Planning Division has been established in order to raise the level of service provided by the Bank
g)
Rationalization and restructuring of the Technology & Operations
Group •
A portion of the business of Aozora Information Systems, Ltd., has been transferred to the head office, and the company will be closed.

The responsibilities of the Corporate Banking Service Division have
been transferred to the Corporate Banking Group in order to promote greater efficiency in operations.
