On the conclusion of the 150th Annual General Shareholders' Meeting

Nikon Corporation hereby announces that the following agenda were approved without amendment at the 150th Annual General Shareholders' Meeting held on June 27, 2014.

• Appropriation of Surplus

  A year-end dividend of ¥22.0 per share was approved.

• Appointment of 11 Directors

  11 members of the Board of Directors — Messrs. Makoto Kimura, Kazuo Ushida, Junichi Itoh, Yasuyuki Okamoto, Norio Hashizume, Hiroshi Ohki, Takaharu Honda, Tomohide Hamada, Toshiyuki Masai, Kenji Matsuo and Koukei Higuchi — were appointed as Directors.
  Messrs. Takaharu Honda and Tomohide Hamada are newly-appointed Board of Directors and Messrs. Kenji Matsuo and Koukei Higuchi are External Directors as provided for under the Companies Act.

• Appointment of One Corporate Auditor

  Mr. Koichi Fujiu was appointed as Corporate Auditor. Mr. Koichi Fujiu is a newly-appointed Corporate Auditor.

• Payment of Bonuses to Directors

  In view of the business results for the fiscal year under review and various other factors, it was resolved that 80,214,000 yen in total be paid to eight Directors (excluding two External Directors) who are in office as of the end of the fiscal year that ended on March 31, 2014 (the 150th Term).
